About this session
Energy and climate-technology ventures typically require more capital, longer development periods and greater physical demonstration than conventional digital businesses. The term sheet therefore sets more than valuation. Ownership, control, downside protection, future funding and founder incentives are all determined in it. Poorly understood clauses can materially affect both company and investor long after the financing round closes. This masterclass examines how investors assess value and risk, and which deal terms carry the greatest consequence. It covers dilution, liquidation preferences, governance rights, anti-dilution provisions, milestone structures and exit terms. The session will focus on sharing experiences on how structuring capital can protect investors without constraining the company's ability to raise further funding and scale.
